These Terms and Conditions ("Terms") govern your access to the website operated by Technology Consultants Shoppe, LLC and any technology consulting, advisory, or related professional services ("Services") you obtain from us. By using the Site or engaging Services, you agree to these Terms.

Consulting Services

Professional Services are provided under a written statement of work, master services agreement, or other executed contract that specifies scope, deliverables, fees, and responsibilities. Advice and recommendations reflect information available at the time of delivery; outcomes may depend on factors outside our control, including Client decisions, third-party products, and operational execution. Unless expressly agreed in writing, we do not guarantee specific business results or technology performance metrics.

Intellectual Property

Content on this Site—including text, graphics, and layout—is owned by Technology Consultants Shoppe, LLC or its licensors. Pre-existing methodologies, tools, and templates remain our property. Deliverables identified as owned by the Client in the applicable agreement transfer according to that agreement. Client-provided materials remain Client property; you grant us a limited license to use them solely to perform the Services.

Payment Terms

Fees, expenses, and invoicing schedules are set forth in the governing agreement. Unless otherwise stated, invoices are due upon receipt. Late payments may incur interest or suspension of Services as described in the agreement.

Termination

Either party may terminate an engagement as provided in the governing agreement. We may suspend or terminate access to the Site or Services for material breach, non-payment, or security risk. Provisions that by their nature should survive—including confidentiality, limitation of liability, and intellectual property—will survive termination.

Disclaimer of Warranties

The Site and any general information provided through it are offered "AS IS." Technology Consultants Shoppe, LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where preempted by federal law. Exclusive jurisdiction and venue for disputes arising from these Terms or the Site shall lie in the state and federal courts located in St. Louis County, Missouri, unless a signed agreement provides otherwise.

Changes to Terms

We may modify these Terms periodically. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site after changes constitutes acceptance of the updated Terms. Material changes to Services relationships will be addressed through your contract.
